Positive Leadership Affiliate Agreement

This Affiliate Agreement (“Agreement”) is entered into as of the date of submission of this form (the “Effective Date”) by and between Positive Leadership, with its principal place of business at 1237 E 31st Ct, Tulsa, OK 74105 (“Company”), and the organization submitting this form (“Affiliate Organization”).

By submitting this form, the Affiliate Organization agrees to the following terms:

1. Purpose

The purpose of this Agreement is to outline the terms under which the Affiliate Organization may refer new Community Leadership Development programs to Positive Leadership and receive commission payments for those referrals.

2. Referral Process

2.1 The Affiliate Organization may refer potential customers (Community Leadership Development programs) to Positive Leadership by encouraging them to contact the Company directly.
2.2 The referred customer must clearly identify the Affiliate Organization by name when initiating contact with the Company (for example, by email or website inquiry).
2.3 No affiliate links, portals, or tracking systems are used. The Company will attribute the referral solely based on the customer’s identification of the Affiliate Organization.

3. Commission

3.1 The Affiliate Organization will receive a commission equal to 25% of the total program fee paid by any referred customer.
3.2 This commission will be paid annually for each year the referred program continues to use the Positive Leadership curriculum.
3.3 Commission payments will be issued within 30 days of receipt of payment from the referred program.
3.4 The Affiliate Organization may choose to receive its commission as a check or as a credit toward its own program fee.
3.5 A completed IRS Form W-9 must be submitted for the Affiliate Organization before commission payments can be processed. Payments will only be made to the organization, not to individual staff or representatives.

4. Term and Termination

4.1 This Agreement will begin on the Effective Date and will remain in effect unless terminated by either party with 30 days’ written notice.
4.2 The Company may terminate this Agreement immediately in the event of material breach, including any conduct that reflects negatively on the reputation or mission of Positive Leadership.
4.3 Upon termination, the Affiliate Organization will remain entitled to any unpaid commissions earned prior to the termination date.

5. Relationship of the Parties

5.1 The Affiliate Organization is an independent contractor and not an employee, partner, agent, or legal representative of the Company. This Agreement does not create a joint venture or other legal partnership.

6. Non-Disparagement

6.1 The Affiliate Organization agrees not to make any public statements or engage in any conduct, written or verbal, that could reasonably be understood to disparage or harm the reputation of Positive Leadership, its programs, or its representatives.
6.2 This clause does not prevent the Affiliate Organization from providing honest feedback directly to the Company or from complying with legal obligations.

7. Confidentiality

7.1 Both parties agree to maintain the confidentiality of any non-public information obtained through this relationship. This obligation will remain in effect after the termination of this Agreement.

8. Governing Law

8.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Oklahoma. Any legal action arising under this Agreement shall be brought exclusively in the courts of Tulsa County, Oklahoma.

9. Entire Agreement

9.1 This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings related to the subject matter of this Agreement.
